Civil & Commercial
Advice and representation for companies, their shareholders and their directors, from incorporation to insolvency. Over twenty-five years of experience.

Compact and resistant, granite represents what Santana Lorenzo Abogados offers companies and their shareholders: steadfastness.
“Cases are won with a well-built file before the claim is ever filed.”
Companies, their shareholders and their directors need advice and representation in the day-to-day life of the business: from incorporation and capital increases to winding-up and insolvency proceedings. And when conflict arrives — a shareholder blocking decisions, a contract the other party stops performing, a director who has harmed the company — the matter usually reaches the firm in a hurry and with incomplete documentation. The first thing we do is put the facts and the evidence in order, because the judge will decide on what is proved, not on what is told.
Then we choose the route: time-limited negotiation, ordinary proceedings, interim measures or challenges to corporate resolutions. We represent companies, shareholders, directors and private individuals before the commercial and first-instance courts, the provincial courts and the Supreme Court, and in arbitration where the contract provides for it. When a corporate dispute has criminal or tax implications, the same team coordinates with those practice areas.

Directors’ liability
Corporate and individual liability actions, liability for company debts and defence of directors who are sued.
Contracts
Breach, termination, damages and high-value debt claims.
Interim measures, enforcement and arbitration
Attachments, suspension of corporate resolutions, enforcement of judgments and awards, proceedings before arbitration courts.
How we work
Before filing a claim, we assess in writing the likelihood of success, the cost and the time involved, and decide with the client whether to litigate or negotiate. If we litigate, the lawyer who drafts the claim is the one who appears at the hearing. No last-minute surprises and no change of counsel.
